1. About these terms
These Terms and Conditions (the “Terms”) apply to your use of leadcustomboxes.ca (the “Website”) and to all quotes, orders, services and products supplied by Legal business name, operating as Lead Custom Boxes Canada (“we”, “us”, “our”). By requesting a quote, placing an order or using the Website, you agree to these Terms.
Our products are sold mainly to businesses. If you are buying as a consumer, nothing in these Terms limits any rights you have under applicable consumer protection law.
2. Definitions
- Order means a request for goods or services that we have accepted in writing.
- Custom Products means packaging made to your size, material, print or finish specifications.
- Approved Proof means the digital proof, dieline or 3D mockup that you have approved in writing.
- Artwork means all text, images, logos, barcodes and designs you supply or approve.
3. Quotes and orders
A quote is an offer based on the specifications you give us. Quotes are valid for 30 days unless stated otherwise and may change if specifications, quantities or material costs change.
An order is accepted only when we confirm it in writing and, where required, receive your deposit. We may decline or limit any order, for example where a product cannot be made to the requested specification.
You must give us accurate sizes, quantities, delivery details and contact information. Delays or extra cost caused by incorrect information are your responsibility.
4. Prices and taxes
All prices are in Canadian dollars (CAD). Applicable taxes, including GST, HST, PST or QST, are added at invoicing based on the delivery address. Customers claiming tax exemption must provide valid documentation before invoicing.
Prices exclude shipping unless stated in your quote. See our Payment and Pricing Policy for deposits, payment methods and credit terms.
5. Artwork, proofs and your responsibilities
You confirm that you own, or have permission to use, all Artwork and that it does not infringe any third party’s rights. You grant us a licence to reproduce the Artwork solely to make and deliver your order.
Before production we send an Approved Proof for your review. Once you approve it, you are responsible for any errors it contains, including spelling, colours, barcodes, dimensions and legal text. We are not liable for errors in approved Artwork.
You are responsible for ensuring that your packaging and labelling comply with the laws that apply to your product and market, including bilingual labelling, ingredient, safety and recycling-claim rules. We do not provide legal or regulatory advice about your packaging.
6. Production tolerances
Custom printing and converting are subject to normal manufacturing variation. The following are not defects:
- Quantity: delivered quantity may be up to 10% over or under the quantity ordered. You are invoiced for the quantity delivered. Exact-quantity production may be available for an additional charge.
- Colour: reasonable variation between proofs, screens, earlier runs and the finished product, because of differences in equipment, ink and stock.
- Dimensions: size variation within ±2 mm for paperboard and ±3 mm for corrugated.
- Materials: substitution of equivalent stock where the specified material is unavailable, with notice to you.
See our Production and Turnaround Policy for details.
7. Delivery and risk
Delivery dates are estimates, not guarantees. Risk of loss passes to you when the goods are handed to the carrier at our facility, and we will help you file any transit claim. See our Shipping and Delivery Policy.
8. Inspection, claims and returns
You must inspect goods on delivery and notify us of any defect or shortage within 7 days. Custom Products are non-returnable except as set out in our Return and Refund Policy and Quality Guarantee and Claims Policy.
9. Cancellations and changes
Orders cannot be cancelled or changed after production has started. Earlier cancellations may be subject to charges. See our Cancellation and Order Changes Policy.
10. Packaging suitability
Box strength and protection depend on your product’s weight, shape and shipping conditions. You are responsible for testing that the packaging suits your product, your fulfilment process and your carrier. We can advise on materials but do not guarantee fitness for a particular purpose unless agreed in writing.
11. Intellectual property
You keep ownership of your Artwork and brand. We keep ownership of our website content, templates, dielines and structural designs we create, unless we agree otherwise in writing. Unless you tell us in writing not to, we may show photographs of finished work in our portfolio without disclosing confidential information.
12. Warranty and limitation of liability
We warrant that Custom Products will conform to the Approved Proof and specifications, within the tolerances above, when delivered. Except as stated, and to the fullest extent permitted by law, we give no other warranties, express or implied.
Our total liability for any claim relating to an order is limited to the price you paid for the affected goods. We are not liable for indirect or consequential loss, including lost profit, lost sales, recall costs or business interruption. Nothing in these Terms excludes liability that cannot be excluded by law.
13. Indemnity
You will indemnify us against claims, losses and costs arising from your Artwork, your product, or your breach of these Terms, except to the extent caused by our negligence.
14. Events beyond our control
We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, severe weather, labour disruption, supply shortages, carrier or border delays, pandemics and government action. We will tell you as soon as reasonably possible.
15. Using the Website
You agree not to misuse the Website, attempt unauthorised access, upload malicious code, or scrape content without permission. Links to third-party sites are provided for convenience and we are not responsible for their content. We may suspend access to the Website at any time for maintenance or security.
16. Privacy
Our handling of personal information is described in our Privacy Policy and Cookie Policy.
17. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction, subject to any mandatory rights you have to bring a claim where you live. We encourage you to contact us first so we can try to resolve any issue informally.
18. Language
These Terms are written in English. A French version is available on request. Confirm language requirements for Québec customers with your legal adviser.
19. Changes to these Terms
